Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Rotten Legacy website, and services (collectively, the "Service") operated by Rotten Legacy Studios ("us", "we", "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. Introduction

Rotten Dawn is a post-apocalyptic survival game built by Rotten Legacy that incorporates blockchain technology, allowing players to own in-game assets as non-fungible tokens (NFTs) and participate in a player-driven economy powered by the RTN token.

These Terms govern your access to and use of the Rotten Dawn game, website, and related services, including any content, functionality, and services offered through the game or website.

2. Definitions

Throughout these Terms, we use certain capitalized terms that have specific meanings:

• "Account" refers to your registered account on the Rotten Legacy platform that allows you to access and use the Services.
• "Content" refers to all information, data, text, graphics, images, videos, sounds, music, software, scripts, and other materials that are displayed, generated, or otherwise made available through the Services.
• "Digital Assets" refers to cryptographic tokens, cryptocurrencies, virtual currencies, NFTs, and other blockchain-based digital assets that are supported by the Services.
• "NFT" refers to a non-fungible token, which is a type of Digital Asset that represents ownership of a unique item or content within the Rotten Legacy ecosystem.
• "RTN" refers to the native utility token of the Rotten Legacy ecosystem, used for transactions, governance, and other functions within the platform.
• "Services" refers to the Rotten Legacy game, website, marketplace, and all related applications, tools, and features.
• "User" refers to any individual who accesses or uses our Services, also referred to as "you" or "your".
• "Wallet" refers to a software application or hardware device that allows you to store and transfer Digital Assets.

3. Account Creation & Requirements

To access certain features of the Services, you must create an Account. When you create an Account, you must provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your Account and password, and you accept responsibility for all activities that occur under your Account.

3.1 Account Eligibility

By creating an Account, you represent and warrant that:

• You are at least 18 years of age, or the legal age of majority in your jurisdiction, whichever is higher.
• You have the full right, power, and authority to agree to these Terms.
• You are not subject to sanctions, restrictions, or prohibitions that would prevent you from using cryptocurrency or blockchain services.
• You are not creating an Account on behalf of another person or entity unless you are legally authorized to do so.
• You will only create one Account per person, unless explicitly permitted by us.

You may not use our Services if you are under 13 years of age, or under 16 where GDPR-K applies. If you are between 13 and 18, you represent that your legal guardian has reviewed and agreed to these Terms on your behalf.

3.2 Account Security

You are responsible for safeguarding your Account and for any activity that occurs through your Account. We strongly recommend that you:

• Use a strong, unique password that you do not use for other services.
• Enable two-factor authentication when available.
• Keep your login credentials, recovery phrases, and private keys confidential and secure.
• Log out of your Account when using shared devices.
• Contact our support team immediately if you suspect unauthorized access to your Account.

You understand and agree that we cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

4. Code of Conduct

To maintain a positive and fair environment for all users, you agree to follow our Code of Conduct when using the Services.

Any attempt to gain unauthorized access to our systems, manipulate smart contracts, exploit vulnerabilities, or interfere with platform operations constitutes a severe violation of these Terms. Such actions may result in immediate account termination, permanent ban from the Services, and forfeiture of all digital assets held within the RTN Network ecosystem. We reserve the right to pursue legal action and report such activity to relevant authorities.

4.1 Prohibited Activities

When using our Services, you agree not to:

• Violate any applicable laws, regulations, or third-party rights.
• Use the Services for any illegal or unauthorized purpose.
• Engage in, promote, or facilitate illegal activities, including money laundering, terrorist financing, or fraud.
• Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Services.
• Use any robot, spider, crawler, scraper, or other automated means to access the Services or collect data from the Services.
• Upload or transmit viruses, malware, or other types of malicious code that may interfere with the Services or any user's experience.
• Create a false identity or impersonate another person or entity.
• Harass, abuse, threaten, or intimidate other users.
• Post or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Sell, purchase, rent, lease, or otherwise transfer your Account or any in-game assets outside of the official Rotten Legacy marketplace, except as expressly permitted by these Terms.
• Use cheats, exploits, automation software, bots, hacks, mods, or any unauthorized third-party software designed to modify or interfere with the Services.
• Disrupt the normal flow of dialogue or otherwise act in a manner that negatively affects other users' ability to engage in real-time interactions.

4.2 Reporting Violations

If you observe behavior or content that violates our Code of Conduct, please report it to our moderation team through the in-game reporting system or by contacting support at [email protected].

We reserve the right to investigate and take appropriate action against any user who violates these provisions, including removing content, suspending or terminating Accounts, and reporting to law enforcement authorities.

All reported violations are reviewed through a combination of automated detection systems and manual human moderation. While we strive to act swiftly, we do not guarantee immediate response times.

5. Blockchain Assets & Ownership

5.1 Digital Asset Ownership

For wallets created directly through RottenNet, while the assets remain your property, their storage and access are handled through custodial systems managed by RottenNet. You acknowledge that these wallets are under the sole custody of RottenNet. We are not responsible for any loss of funds, access, or digital assets resulting from actions outside our control, including security breaches, technical faults, or unauthorized access.

RTN tokens and other digital assets in the Rotten Legacy ecosystem are designed for utility within our platform. They do not represent financial securities, investment contracts, or any form of equity. Users should not expect profits or returns from holding RTN.

Certain items within Rotten Legacy may be represented as NFTs on the blockchain. When you purchase or acquire these NFTs, you own the underlying NFT completely. This means:

• You have the right to hold, transfer, sell, or trade the NFT through any compatible marketplace or platform.
• Your ownership of the NFT is recorded on the blockchain and persists independently of your relationship with Rotten Legacy.
• You may use the NFT within the Rotten Legacy game in accordance with these Terms.

5.2 License to NFT Content

While you own the NFT itself, the intellectual property rights associated with the NFT's content (such as artwork, designs, and other creative elements) remain with Rotten Legacy Studios or its licensors. When you purchase an NFT, we grant you a limited, worldwide, non-exclusive, non-transferable license to:

• Use, display, and enjoy the content associated with your NFT within the Rotten Legacy ecosystem.
• Display the content associated with your NFT for your personal, non-commercial use.
• Resell or trade your NFT through approved marketplaces in accordance with these Terms.

5.3 Blockchain Risks

You acknowledge and agree that:

• Blockchain technology and cryptocurrencies involve inherent risks, including volatile market conditions, regulatory uncertainty, technical limitations, and security vulnerabilities.
• We do not control blockchain networks, miners, validators, or the execution of transactions on the blockchain.
• We cannot reverse blockchain transactions once confirmed.
• You are solely responsible for the security of your private keys and wallet.
• Blockchain transactions may be subject to network fees that are outside of our control.

6. Payments & Transactions

6.1 Payment Methods

We accept various payment methods for purchases within the Rotten Legacy ecosystem, including credit cards, cryptocurrency, and RTN tokens. All payments are processed through our secure payment system or through approved blockchain networks.

6.2 Fees

The following fees may apply to transactions within the Rotten Legacy ecosystem:

7. Intellectual Property Rights

The Services, including all content, features, and functionality, are owned by Rotten Legacy Studios, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.1 Our Intellectual Property

We retain all right, title, and interest in and to the Services, including:

• All software, code, algorithms, and technical components of the Services.
• All graphics, designs, artwork, audio, visual elements, and other creative content.
• All trademarks, logos, trade names, and distinctive brand features.
• All data, analytics, and information generated by or derived from the Services.

7.2 User-Generated Content

You may have the opportunity to create, upload, or share content through the Services ("User Content"). You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services.

You represent and warrant that your User Content does not violate third-party rights, including copyright, trademark, privacy, personality, or other personal or proprietary rights.

8. Disclaimers & Limitations

8.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
• ANY DEFECTS OR ERRORS IN THE SERVICES WILL BE CORRECTED.
• THE SERVICES OR ANY CONTENT ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
• THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS.

While we strive to ensure global accessibility of our Services, including Rotten Legacy, Rotten Dawn, RottenNet, and related tools, we cannot guarantee uninterrupted access due to external dependencies, such as regional restrictions, third-party platforms, blockchain networks, or infrastructure limitations. We disclaim all liability for inaccessibility caused by such external factors.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO US IN THE SIX (6) MONTHS PRECEDING THE DATE ON WHICH THE CLAIM AROSE; OR (B) ONE HUNDRED DOLLARS ($100).

8.3 Risk Disclosure

You acknowledge that:

• The value of Digital Assets, including RTN and NFTs, can fluctuate significantly and may even become worthless.
• Regulatory changes may adversely impact the Services and Digital Assets.
• Technological difficulties may affect the functioning of the Services or the blockchain networks on which they rely.
• Digital Assets involve substantial risk, and you should not purchase them with funds you cannot afford to lose.

9. Termination

We may terminate or suspend your Account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. However, any NFTs or Digital Assets that you own on the blockchain will remain your property, though you may no longer be able to use them within the Rotten Legacy ecosystem.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Rotten Legacy Studios is incorporated, to be announced upon final registration of Rotten Legacy Studios. All disputes shall be submitted to courts in that jurisdiction, unless otherwise mandated by applicable law.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the courts located in that jurisdiction, and you waive any objection to the exercise of jurisdiction over you by such courts.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any changes by posting the revised Terms on our website and updating the "Last Updated" date at the top of these Terms.

Your continued use of the Services after changes become effective constitutes your acceptance of the new Terms. You are responsible for reviewing any updates or modifications periodically.

13. Force Majeure Clause
